MogDock Terms of Service

1. Agreement and eligibility

These Terms of Service ("Terms") are an agreement between Upstage Creations LLC,
42075 Remington Ave, Suite 109, Temecula, California 92590 ("Upstage," "MogDock,"
"we," or "us") and the person or organization accepting them ("Customer" or
"you"). They govern access to and use of MogDock.

You must be at least 18 years old to use MogDock. If you use MogDock for an
organization, you represent that you have authority to bind that organization.
MogDock is available to businesses and individuals worldwide where payment
processing and applicable law permit.

2. Accounts and workspaces

You must provide accurate account information, keep credentials secure, and promptly
notify us of suspected unauthorized access. You are responsible for activity in your
workspace and for configuring user access appropriately. One person may not share a
personal login with another person.

3. The service and trials

MogDock provides hosted business-operations software and related features described in
the product at the time of use. Features may depend on the selected offer, user role,
workspace status, third-party connection, or technical availability.

The standard base trial lasts 30 days and does not require a payment card. The trial
includes one human seat. MCP trial access is optional and requires an explicit signup
choice. Requesting MCP during a trial does not authorize a future MCP charge. To keep
MCP when starting paid service, you must review the current price and select it again.

4. Prices, seats, taxes, and payment

The prices, currency, billing interval, included quantities, add-ons, and applicable
tax treatment shown by MogDock when you place an order are the terms of that order.
MogDock's launch offer is denominated in U.S. dollars and includes one seat. Taxes may
be added where applicable.

Additional purchased seats are billed at the quantity you select, whether or not every
seat is assigned or currently in use. A pending invitation and a disabled user do not
automatically reduce the purchased quantity or its recurring charge. You must change
the purchased quantity separately in Billing when you want that quantity to change.

MCP is a separately priced add-on. It is included in paid service only when the current
order expressly includes it. A trial request is never paid authorization.

Checkout shows only payment methods available for the particular transaction. You
authorize recurring charges for the offer and interval you affirmatively accept,
including applicable taxes. Payment authentication or a browser completion message does
not by itself establish paid access; MogDock may wait for verified payment confirmation.

We may change an existing customer's price only after at least 30 days' notice. A
changed price applies at renewal, not in the middle of a paid term. Any complimentary
access or discount must be expressly granted, owner-audited, and have an explicit
expiration. Complimentary access and discounts do not renew automatically unless a new
written grant says otherwise.

5. Renewal, cancellation, and refunds

Paid subscriptions renew for the selected monthly or annual interval unless canceled.
Cancellation takes effect at the end of the paid period. Subject to these Terms and
applicable law, access continues through that boundary.

Payments are non-refundable and are not prorated when you cancel or reduce service,
except to correct a billing error, where required by law, or when Upstage approves an
exception. Purchased-seat additions are prorated and charged immediately. Purchased-seat
reductions and other downgrades take effect at the next paid billing boundary without a
current-period credit.

6. Usage and high-volume review

MogDock does not promise unlimited capacity and does not publish a hard usage cap for
the launch offer. We may manually review unusually high volume when needed to protect
service reliability, security, legal compliance, or other customers. We will work with
you on a reasonable operating path before imposing a commercial change when
practicable. This section does not authorize surprise usage charges.

7. Included support

The subscription includes access to MogDock documentation and in-app support tickets.
It does not include a service-level agreement, 24-by-7 coverage, a guaranteed response
or resolution time, data migration, data cleanup, or custom implementation. Current
guides are maintained at https://support.mogdock.com.

8. Customer content and integrations

You retain ownership of information, files, and other content submitted to your
workspace ("Customer Content"). You grant Upstage a limited right to host, copy,
transmit, process, and display Customer Content only as reasonably necessary to provide,
secure, support, and comply with law for MogDock.

You are responsible for having the rights and permissions needed for Customer Content
and connected accounts. Third-party services have their own terms and may change or
stop their services. MogDock does not guarantee a third-party provider's availability,
approval, or behavior.

Upstage does not sell personal data and does not use Customer Content to train
MogDock-owned artificial-intelligence models. Operationally necessary service providers
may process data on our behalf, and information may be disclosed where required by law.

9. Acceptable use

You must comply with the MogDock Acceptable Use Policy. The policy is incorporated into
these Terms. Among other things, you may not use MogDock for unlawful activity, interfere
with service operation, bypass access controls or usage safeguards, distribute malicious
code, probe another workspace, or process content without the required rights.

10. Suspension and service protection

We may restrict or suspend access when reasonably necessary to address a security threat,
unlawful or prohibited use, nonpayment, material breach, or risk to MogDock or another
customer. When practicable, we will provide notice and an opportunity to cure. Emergency
security, legal, or abuse conditions may require immediate action.

11. Intellectual property

Upstage and its licensors own MogDock, including its software, design, documentation,
and branding, excluding Customer Content. Subject to these Terms and payment of fees, we
grant you a limited, non-exclusive, non-transferable right to use MogDock during the
subscription for your own operations. You may not copy, resell, sublicense, reverse
engineer, or create a competing service from MogDock except where applicable law does not
permit that restriction.

12. Confidentiality

Each party may receive non-public information from the other. The receiving party will
use it only to perform under these Terms, protect it with reasonable care, and disclose
it only to personnel and service providers who need it and are bound to protect it. This
does not cover information that is public without breach, already lawfully known,
independently developed, or lawfully received from another source. A legally required
disclosure is permitted, with notice when legally allowed.

13. Privacy and data processing

The MogDock Privacy Policy explains how Upstage handles personal data. The MogDock Data
Processing Addendum applies where Upstage processes personal data in Customer Content on
Customer's behalf and the addendum is applicable to that processing.

14. Disclaimers

To the extent permitted by law, MogDock is provided "as is" and "as available." Upstage
disclaims implied warranties, including merchantability, fitness for a particular purpose,
title, and non-infringement. We do not warrant uninterrupted or error-free operation or
the continued availability of a third-party integration. These disclaimers do not limit
rights or warranties that cannot lawfully be excluded.

15. Limitation of liability

To the extent permitted by law, neither party is liable under these Terms for indirect,
incidental, special, exemplary, punitive, or consequential damages, or for lost profits,
revenues, goodwill, or business opportunities, even if advised that they were possible.
This limitation does not apply where liability cannot lawfully be limited.

16. Ending the agreement and account data

You may end these Terms by canceling paid service and ceasing use. Sections that by their
nature should survive will survive, including payment obligations, intellectual-property
rights, confidentiality, disclaimers, limitations, and dispute terms.

A canceled account is ordinarily recoverable for 30 days after the paid-period boundary,
unless a verified deletion request is completed earlier. Verified deletion requests are
completed within 30 days, subject to lawful retention. Encrypted backups expire within 90
days. Legal, billing, security, and fraud-prevention records may be retained only as long
as legally necessary.

17. Changes to these Terms

We may update these Terms. The published legal page identifies the current version and
effective date. We will provide notice or request new acceptance when required by law or
when the nature of a change requires it. Price changes are governed by the separate
30-day renewal rule in Section 4.

18. Governing law and venue

California law governs these Terms, without regard to conflict-of-laws principles.
Exclusive venue for disputes lies in the state or federal courts located in Riverside
County, California, except where applicable law requires another forum.

19. General terms

These Terms and incorporated policies are the entire agreement about MogDock unless the
parties sign a separate agreement. If a provision is unenforceable, it will be limited to
the minimum extent necessary and the rest remains effective. A failure to enforce a
provision is not a waiver. You may not assign these Terms without our written consent;
Upstage may assign them as part of a merger, acquisition, reorganization, or sale of the
relevant business. Neither party is liable for delay caused by events beyond reasonable
control.

Appendix — Incorporated Acceptable Use Policy

MogDock Acceptable Use Policy

This Acceptable Use Policy ("AUP") applies to every use of MogDock and is incorporated
into the MogDock Terms of Service. Capitalized terms not defined here have the meanings
given in the Terms.

1. Lawful use and rights

You may use MogDock only for lawful purposes. You must have all rights, permissions,
notices, and legal bases needed to submit, access, synchronize, or otherwise process
content and personal data through MogDock. You may not use MogDock to violate another
person's privacy, intellectual-property, publicity, contractual, or other rights.

2. Security and access

You may not:

- access or attempt to access another customer's workspace, credentials, tokens, files,
  or data without authorization;
- probe, scan, or test MogDock or another connected system for vulnerabilities without
  Upstage's prior written authorization;
- bypass authentication, authorization, tenant boundaries, rate limits, usage safeguards,
  payment controls, feature controls, or security restrictions;
- share personal credentials, obtain access through deception, or use compromised
  credentials;
- introduce malware, destructive code, credential theft, or other harmful material; or
- interfere with incident response, logging, audit, abuse prevention, or security review.

3. Service integrity

You may not disrupt, overload, damage, or degrade MogDock or use it in a way that
materially harms another customer. Prohibited activity includes denial-of-service
activity, uncontrolled automated requests, scraping outside documented interfaces,
message or request flooding, and deliberate generation of excessive storage, queue,
network, browser-automation, or integration load.

MogDock does not promise unlimited capacity and does not publish a hard launch usage cap.
Unusually high volume may receive manual review. Review is intended to establish a safe,
reliable operating path and does not by itself authorize an unannounced usage charge.

4. Prohibited content and conduct

You may not use MogDock to create, store, transmit, facilitate, or promote:

- illegal goods, services, transactions, or evasion of legal obligations;
- fraud, impersonation, phishing, spam, deceptive practices, or unauthorized surveillance;
- exploitation or abuse of children;
- threats, targeted harassment, or incitement of violence;
- content or conduct that infringes or misappropriates another person's rights; or
- instructions or tools primarily intended to compromise systems, credentials, or data.

5. Connected services and MCP

You must comply with the terms, permissions, and technical limits of services connected
to MogDock. You may not use an integration or MCP capability to obtain data or take an
action that you are not otherwise authorized to obtain or take. A token, connection, or
technical ability is not proof of legal authority.

6. Enforcement

We may investigate suspected violations and may limit or suspend affected access when
reasonably necessary to protect customers, MogDock, service providers, or the public, or
to comply with law. We will consider the nature, severity, duration, and recurrence of
the conduct. When practicable, we will provide notice and an opportunity to correct the
issue; urgent security, legal, or abuse conditions may require immediate action.

7. Reporting

Report suspected abuse or security concerns to support@mogdock.com. Do not include
passwords, payment-card data, private keys, access tokens, or other secrets in a report.

8. Changes

The published policy identifies the current version and effective date. We will provide
notice or request new acceptance when required by law or appropriate to the nature of a
material change.
